These terms govern the sale of the Valorys Capital strategic analysis service.
The service is sold by SEDELLA LIMITED (“Valorys Capital”), an Irish Private Company Limited by Shares, CRO 791427, registered office Pod 2, The Old Station House, 15A Main Street, Blackrock, Dublin, A94 T8P8, Irlande. Contact: contact@valorys-capital.com.
The service consists of a confidential strategic analysis engagement whose deliverable is a report (Valorys® Index, multi-method valuation, discount factors, action plan) together with access to the executive workspace. It is a bespoke intellectual service.
The price of the service is €349 excl. VAT. The applicable price is the one displayed at the time of order.
VAT: prices are stated excluding VAT. VAT is applied in accordance with the applicable rules; for business customers established in another European Union member state, the reverse-charge mechanism may apply (statement “VAT not applicable / reverse charge — Article 196 of Directive 2006/112/EC”).
The order is placed online. Payment is made by bank card through our secure provider Stripe. The order becomes firm upon payment confirmation.
The service begins upon receipt of all necessary documents. The report is delivered within 30 calendar days of such receipt. The quality of the analysis depends on the completeness of the documents provided (in particular the last three financial years).
As this is a fully performed, bespoke service, the client expressly requests immediate performanceof the service upon uploading their documents and acknowledges waiving their right of withdrawalonce the service has been fully performed, in accordance with Article 16 of Directive 2011/83/EU on consumer rights (and, for France, Article L.221-28 of the Consumer Code). Consequently, no refund can be issued once the analysis has begun.
The client undertakes to provide accurate documents for which they hold the rights. SEDELLA LIMITED cannot be held liable for an erroneous analysis resulting from inaccurate or incomplete information.
The conclusions of the report are informational and constitute neither investment advice, nor a certified valuation, nor any guarantee of sale price. The liability of SEDELLA LIMITED is limited to the amount of the service.
Valorys Capital is committed to delivering the report in full. Where a technical incident attributable to SEDELLA LIMITED — in particular a processing failure, or a report that is not generated, incomplete or unreadable, or a delivery failure — prevents the complete delivery of the report, SEDELLA LIMITED will, at no additional cost, regenerate the analysis or provide an equivalent solution.
This guarantee covers technical delivery failures only. It does not extend to the analytical conclusions of the report — which remain informational, as set out in the Liability clause — nor to situations resulting from inaccurate, incomplete or unreadable documents provided by the client.
Any complaint may be sent to contact@valorys-capital.com. Consumers in the European Union may use the European Commission's Online Dispute Resolution platform.
These Terms of Sale are governed by Irish law, without prejudice to the mandatory protective provisions applicable to consumers residing in the European Union. The processing of data is described in our Privacy Policy.
